On August 29, 2012, the SEC proposed rules to permit general solicitation and general advertising in securities offerings under Rule 506 of Regulation D and Rule 144A of the Securities Act, as required by the JOBS Act. The SEC is accepting public comment on the proposed rules until 30 days after publication in the Federal Register.

On August 29, 2012, the SEC proposed rules to permit general solicitation and general advertising in securities offerings under Rule 506 of Regulation D and Rule 144A of the Securities Act, as required by the JOBS Act?(www.practicallaw.com/2-518-7869).

Rule 506

Under proposed rules, a new Rule 506(c) would be added, permitting general solicitation and general advertising to offer and sell securities if:

  • The issuer takes reasonable steps to verify that the purchasers are accredited investors?(www.practicallaw.com/0-382-3212).

  • All purchasers of the securities are accredited investors because:

    • they fall within one of the categories of accredited investors under Rule 501; or

    • the issuer reasonably believes that the purchasers fall within one of the categories of accredited investors at the time of sale.

Whether steps taken to verify accredited investor status are reasonable would be an objective determination, based on the particular facts and circumstances of each transaction. The SEC chose not to include in the rules uniform verification methods or a non-exhaustive list of methods on the theory that either would be impractical, inflexible and ineffective to apply to all situations.

Instead, the proposing release suggests several factors that may be considered, including the:

  • Type of purchaser and the type of accredited investor that the purchaser claims to be.

  • Amount and type of information that the issuer has about the purchaser.

  • Nature of the offering, including the manner of the solicitation and the terms of the offering.

The SEC suggested that factors should work together in increasing or mitigating verification steps. For example, a solicitation to registered broker-dealer purchasers would require fewer verification steps than a widely disseminated e-mail or social media solicitation with natural person purchasers. In the case of a widely disseminated solicitation accessible to the general public, the SEC does not believe that an issuer has taken reasonable verification steps if it required only that an investor check a box in a questionnaire or sign a form, absent other verifying information about the investor.

The SEC also viewed favorably suggestions by commentators relating to reliable third-party verification services and requiring a high minimum investment amount in a Rule 506(c) offering as examples of good verification steps. In any event, it would be important to retain adequate records that document the verification steps taken.

If an investor in a 506(c) offering does not actually qualify as an accredited investor, the issuer would not lose the ability to rely on the 506(c) exemption for that offering if the issuer took the reasonable verification steps and reasonably believed that investor was an accredited investor.

As now proposed, the rules would preserve the existing Rule 506 as a separate exemption so that companies conducting 506 offerings without the use of general solicitation and general advertising would be exempt from the new verification rule. The proposing release confirms that the reasonable belief standard for accredited investor status in Rule 501(a) remains unchanged by the JOBS Act.

The proposal does not amend the Section 4(a)(2) exemption.

Form D

Form D?(www.practicallaw.com/2-382-3490) would be revised to add a separate field or check box requiring issuers to indicate whether they are claiming an exemption under Rule 506(c).

Rule 144A

Rule 144A would be revised to permit securities to be offered under Rule 144A to persons other than qualified institutional buyers?(www.practicallaw.com/1-382-3730) (QIBs), including with the use of general solicitation or general advertising, if those securities are actually sold only to investors which the seller and any person acting on behalf of the seller reasonably believe is a QIB.

Regulation S

The proposing release indicates that global securities offerings with a Rule 144A or Rule 506 component in the US and a concurrent offshore offering conducted in compliance with Regulation S?(www.practicallaw.com/3-382-3748) will not be integrated.

Public Comments

The SEC is accepting public comments on the proposed rules until 30 days after publication in the Federal Register.

Russian tycoon Abramovich wins London court battle

LONDON (AP) ? Self-exiled tycoon Boris Berezovsky lost his multibillion-dollar legal battle against fellow Russian mogul Roman Abramovich on Friday after a British judge ruled that he didn't tell the truth in the clash over vast oil wealth.

The case in London's High Court sparked broad interest because of its focus on the two oligarchs' personal and business relationship in the chaotic days of post-Soviet Russia. The months of testimony included juicy details about their rise to riches, their jet-set lifestyles on yachts and in luxury hotels, and allegations of "gangster" behavior.

The 64-year-old Berezovsky, a former Kremlin power broker who fell out with Russian President Vladimir Putin, alleged that Abramovich had betrayed and intimidated him into selling his oil stakes vastly beneath their true value, and sold his gas shares without his consent. Berezovsky had sought more than $5.6 billion in damages.

Abramovich had denied all the charges.

On Friday, Judge Elizabeth Gloster scathingly dismissed Berezovsky's case, calling him "an unimpressive, and inherently unreliable, witness, who regarded truth as a transitory, flexible concept, which could be molded to suit his current purposes."

"I regret to say that the bottom line of my analysis of Mr. Berezovsky's credibility is that he would have said almost anything to support his case," Gloster said in a 38-page summary of her judgment.

In contrast, she found the 45-year-old Abramovich, the owner of Chelsea football club, to be "a truthful, and on the whole reliable, witness."

Berezovsky, who had alleged blackmail and breach of contract, shook his head in court Friday as his defeat became clear. Abramovich did not attend.

Outside the court, Berezovsky accused Gloster of rewriting Russian history.

"I am absolutely amazed by what happened today," he told reporters. "Sometimes I have the impression that Putin himself wrote this judgment."

A statement issued by Abramovich's representatives said he was "pleased and grateful" that his position had been "comprehensively vindicated by the court."

In Moscow, Putin's spokesman Dmitry Peskov expressed satisfaction with the decision. "It's always pleasant when slander is called by its own name," he was quoted as saying by the state news agency RIA Novosti.

A mathematician-turned-Mercedes dealer, Berezovsky amassed his wealth during Russia's chaotic privatization of state assets in the early 1990s. In return for backing former Russian President Boris Yeltsin, he gained political clout and opportunities to buy state assets at knockdown prices.

Berezovsky said he mentored Abramovich, treating him like a son, and founded the oil giant Sibneft with him and a third partner. Berezovsky claimed that the friendship faltered when he fell out with Putin, at which point Abramovich "intimidated" him into selling $1.3 billion of his Sibneft shares, which he claimed were really worth almost $6 billion.

Abramovich contradicted that account, saying Berezovsky never had "a cent" of investment in Sibneft. He said he had paid more than $2.5 billion to Berezovsky for his services as his "political godfather" and reluctantly funded Berezovsky's extravagant lifestyle of yachts and vacation homes because he feared retaliation from Berezovsky, who he alleged had connections to gangsters in Chechnya.

The judge concluded that the deal between the two men was that in return for substantial cash payments, Abramovich and Sibneft would enjoy Berezovsky's political patronage and influence, "which was indispensable to the construction of any major business in the conditions of the 1990s."

The judge rejected Berezovksy's claims that he was threatened by Putin and Alexander Voloshin, a Putin ally, to coerce him to sell his Sibneft stake.

She also rejected Berezovsky's claim that he had an agreement which gave him an interest in any aluminum holdings that Abramovich might acquire after 1999. There was never any agreement that entitled Berezovsky to shares in the aluminum company Rusal, she added.

The case hinged on four alleged oral agreements and almost every aspect of those alleged deals was in dispute, the judge said.

"Significantly there were no contemporaneous notes, memoranda or other documents recording the making of these alleged agreements or referring to their terms," the judge said.

The burden fell on Berezovsky to convince the court that the agreements had been made, "not for Mr. Abramovich to convince the court otherwise," the judge said.

Gloster was scathing about Berezovsky's credibility.

"At times the evidence which he gave was deliberately dishonest; sometimes he was clearly making his evidence up as he went along in response to the perceived difficulty in answering the questions in a manner consistent with his case; at other times, I gained the impression that he was not necessarily being deliberately dishonest, but had deluded himself into believing his own version of events," she said.

The case may have fascinated the British media, but many in Russia appeared cynical.

"The super-rich are not popular in Russia. An overwhelming majority of Russians see their wealth as ill-gotten gains, see them as people who enriched themselves at people's expense," said Masha Lipman, an analyst at the Carnegie Moscow Center.

Berezovsky, who has lived in Britain since he fled Russia in 2001, said he hadn't decided whether to appeal. He declined to comment on the financial implications of losing the case.

"Life is life," he said. "Now I know what means English court better than before."

Wen says China to invest in EU bonds if risks controlled

China is willing to continue investing in European Union government bonds on condition of fully evaluating the risks, China Premier Wen Jiabao said Thursday. China will enhance communication and consultations with EU, European Central Bank, relevant monetary funds and major countries to support the debt-ridden EU members to ride out the hardships.

Wen made the remarks when meeting the press after co-chairing the second round of Chinese-German intergovernmental consultations with the visiting Germany Chancellor Angela Merkel. China hopes EU could find a balance between fiscal austerity and economic stimulus, which is the fundamental way-out to the crisis, Wen said.

the red kitchen: Meet Olivia (the fish)

Everybody, meet Olivia (the fish).


He's white and orange and he came home with us in a bag.
Olivia (the girl) and Olivia (the fish) hit it off right away.
We bought him a vase for 45 cents at the thrift store, some pebbles from the dollar store, and a fake plant from the pet store. ?We also got him some water treatment stuff and some goldfish flakes.

Here he is acclimating to our room temperature (and appropriately treated) tap water from the comfort of his plastic bag.


When we let him loose later he even charmed us with his mad hide-and-go-seek skills.

So, we bought a fish today. ?Guess who named it.

Bryan doesn't know yet that we got it. ?Although, in all fairness, I did warn him the other day that I was thinking about buying a fish. ?

The truth is, I've tried to talk Bryan into buying a fish several times since we got married. ?I've succeeded a couple times, but the fish always dies a day or two later and then Bryan goes back to his?Scrooge-y ways. ?So I may have gone to buy the fish without him on purpose. ?Heh heh...

I had actually planned on buying a beta fish. ?I had a couple of beta fish (one at a time) for a while in high school and college and they were pretty hearty. ?My beta fish named Jackson was one that I got during my junior year of high school and it lasted all the way through my sophomore year of college. ?

He even?survived?enjoyed a couple of trips on the airplane with me. ?He rode in my old Nalgene water bottle. ?And, yes, it was after the airlines were super strict about taking liquids on airplanes. ?Luckily the airport security figured that if I had a live fish actually swimming around in the water then it probably wasn't a bomb. ?(Side note: It wasn't a bomb. ?Score one for airport security using some good old common sense.)

Anyway, since Bryan and I got married the only fish we've ever had have been super cheapo goldfish. ?You know, the kind that they sell for 17 cents each that are really only meant to be sold as food for other fish. ?Man, whatevs. ?Goldfish are real fish too. ?(Though, admittedly, they do have a rather short shelf life.)

But, ahem, you may have noticed that Olivia (the fish) is not a beta fish. ?He's a goldfish. ?Partly we got him because he's so cute. ?

Also we got him because they were out of the cheap beta fish when Olivia (the girl) and I went to the pet store today. ?I had spent the whole trip to the pet store telling her how we were going to get a fish to bring home and after we found the fish we wanted wasn't available today she was getting pretty sad when I told her we'd have to go back another day.?

So instead I totally caved and bought a 17 cent goldfish instead. ?The new shipment of cheap beta fish comes in on Thursday, so I figured Olivia (the goldfish) could hopefully survive until then and then if he's still alive we'll just keep him instead of getting a beta fish. ?If he doesn't make it until Thursday, we'll go get a beta fish. ?Sentimental, I know.

But actually I did want a fish for sentimental reasons. ?Olivia (the girl) is starting preschool next week and she'll be gone almost as much as if she were in half day kindergarten. ?My heart is saying "Yahoo!" and "Boo hoo," all at the same time. ?I'm excited for all the free time to be able to focus on things and hopefully be really productive. ?But I'm not excited for the?loneliness?that may set in. ?So I thought I'd make sure I'm not the only living thing in the house when she's away. ?Hence, the new addition. ?

Obviously Olivia (the fish) isn't as friendly and cuddly as a dog or something, but we're not allowed to have pets (other than fish) and, anyway, I really am not interested in all the fur all over my stuff. ?And I had fish a lot when I was growing up, so, despite my realistic views on the lifeline of the common goldfish, I am a little sentimental about them.

Here's to hoping Olivia (the fish) doesn't die before tomorrow morning and I have lots of fun?frolicking?through the woods together and working on sewing projects while Olivia (the girl) is busy having the time of her life at preschool. ?:)

NASA to beam new will.i.am song from Mars

A song called "Reach for the Stars" will make its debut, appropriately, from space.

NASA plans to broadcast the tune, written by rapper and songwriter will.i.am, from its Curiosity rover, newly landed on the surface of Mars.

Though Curiosity has no speakers, it will transmit the song via radio waves back to Earth to be received at 1 p.m. PT (4 p.m. ET) Tuesday during an educational event at NASA's Jet Propulsion Laboratory in Pasadena, Calif.

The musician will.i.am, a member of the Black Eyed Peas, was at JPL on Aug. 5 to watch Curiosity land on Mars. The car-sized, $2.5 billion rover is beginning a two-year mission to investigate whether Mars ever had the conditions necessary to support microbial life.

Tapping engineers, families for hospital safety

WASHINGTON (AP) ? Head of the hospital bed raised? Check. Patient's teeth brushed? Check.

Those simple but often overlooked steps can help protect some of the most critically ill patients ? those on ventilators ? from developing deadly pneumonia. And if they knew about them, family members could ensure the steps weren't forgotten.

Hospitals are rife with infections and opportunities for medical mistakes. Now, a nearly $9 million project at Johns Hopkins University aims to combine engineering with the power of patients and their families to prevent some of the most common threats.

The idea: Design patient safety to be more like a car's dashboard, which automatically signals drivers when the oil needs changing or if a passenger forgot to buckle up, or like the countdown systems that make sure no step is missed when a satellite is launched.

Today, safe, quality care largely depends on individual health workers remembering hundreds of steps without good ways to tell if they forget one, said Hopkins' patient safety expert Dr. Peter Pronovost. Getting it right takes what he calls "almost heroic efforts."

And too often, the people best able to spot early warning signs ? patients and their families ? are treated as passive bystanders rather than encouraged to participate in their care, he said.

"Who knows better than the family?" asked Dr. George Bo-Linn of the Gordon and Betty Moore Foundation's new Patient Care Program.

The foundation, created by Intel co-founder Gordon Moore, announced Tuesday that it is funding the Hopkins work as the first step in a planned 10-year, $500 million effort to improve patient safety and family engagement in hospitals around the country. Separately, the Institute of Medicine has signed on to help, partnering with the National Academy of Engineering, to bring together top experts on how to design safety systems.

Sometimes the failure to merely discuss treatment with patients or their families causes the harm. Consider Nicole D. James, a commercial property manager in Elkridge, Md., who undergoes frequent overnight hospital stays to treat the intense pain of sickle cell anemia. One such visit turned into a miserable two-week stay when the ER doctor added a powerful antibiotic to James' usual pain treatment without telling her first ? a drug that worsened her sickle cell crisis.

It turned out the doctor had spotted a shadow on James' lung X-ray that he thought was pneumonia but that she could have told him, and her regular physician confirmed, really was old scar tissue.

"I know what's normal for me," said James, 37, who now insists that relatives drive past closer hospitals for Hopkins, where her doctor practices, no matter how late at night or intense her pain. Because the doctors know her, "I am not just somebody lying on the table. I am part of the team."

Tens of thousands of preventable deaths occur in U.S. hospitals every year. Numerous programs are under way to improve patient safety. Among them is the government's Partnership for Patients, funded by $1 billion from the new health care law, that is helping hospitals adopt proven safety strategies.

Hopkins' Pronovost led the creation of one of the most well-known ? a simple checklist that ensures hospital workers follow steps that lower the risk of deadly bloodstream infections from common IV catheters. That checklist now is being used in ICUs nationwide, and the government reported last year that those infections have plummeted by 60 percent as a result.

But catheter infections are just one of a dozen serious hospital-caused harms that threaten ICU patients, Pronovost said. Rather than fighting them one at a time, his new project will target multiple ICU threats simultaneously ? from ventilator-associated pneumonia to deadly blood clots ? without relying on old-fashioned paper checklists and with more family involvement.

It will require linking medical devices that today don't talk to each other, he said. For instance, pumps that deliver narcotic painkillers aren't linked to other devices that monitor breathing. If connected, the painkillers could be stopped automatically at the first sign of respiratory problems, a known side effect.

Other protections are far less complex. Keeping the head of the bed elevated at least 30 degrees and good oral hygiene are among the steps that help fend off the pneumonia that kills 36,000 people a year while they're on ventilators. That's something family members can watch for ? or they even can be trained to brush a loved one's teeth around the breathing tube.

Already, Hopkins has introduced a "family involvement menu" of care items. "We believe that you know the person that we are caring for far better than we do," the menu reads.

Ultimately, Pronovost envisions an iPad-like device that allows both health workers and family members to see at a glance which of dozens of required daily care steps have been performed and which still need to be.

"The beauty of checklists is it gives you that constant visual reminder," and an electronic, automated version is the next logical evolution, said Ann Marie Pettis, director of infection prevention at the University of Rochester Medical Center, who called the project intriguing.

Engaging the patient and family in some ways is tougher. Hospitals have had a hard time encouraging people to ask doctors and nurses if they've washed their hands, said Gina Pugliese of the Premier Safety Institute, a hospital improvement alliance.

"So many patients and families are hesitant to ever question the doctor," she said. "It's so important they get involved."

All eyes on Isaac as GOP convention approaches

TAMPA, Fla. (AP) ? Mitt Romney's Republican National Convention sputters to life with the lonely banging of a gavel in a mostly empty hall, hardly the opening splash intended for the nation. With a sprawling and strengthening storm bearing down on the region, the party hastily rewrote the convention script to present the extravaganza's prime rituals and headline speakers later in the week ? Tropical Storm Isaac willing.

Nothing was certain Monday as the storm carved an unpredictable path toward the Gulf of Mexico, forcing planners to compress four days of events into three and otherwise improvise.

It was a complication, at best, for a party determined to cast the close election as a referendum on President Barack Obama's economic stewardship and Romney as the best hope for jobs and prosperity.

From New Hampshire, where he and his wife, Ann, rehearsed their convention speeches in a high school auditorium, Romney expressed worry about the people in Isaac's way while predicting a "great convention" nonetheless. Other officials put on a brave face, too.

But Sally Bradshaw, a Florida Republican and longtime senior aide to former Florida Gov. Jeb Bush, was not so sanguine. "It's a mess all around and it's fraught with risk," she said. "It's not good for anybody ? particularly the people impacted by the storm."

The concern was two-fold: that Tampa, hosting thousands of GOP delegates, would get sideswiped by the storm; and that it would be unseemly to engage in days of political celebration if Isaac made a destructive landfall anywhere on U.S. soil.

"You can tone down the happy-days-are-here-again a bit," said Rich Galen, a veteran Republican consultant in Washington. "Maybe you don't have the biggest balloon drop in history."

Said Reince Priebus, the Republican National Committee chairman: "We're moving forward, but we are going to be nimble." Real estate developer Donald Trump, who had been scheduled to speak Monday, was dropped from the convention program because of the reshuffling.

Republicans hoped another distracting tempest would blow over, too, concerning abortion. The Obama campaign and its allies have doubled down in efforts to exploit remarks more than a week ago by Rep. Todd Akin, the GOP's candidate for a Senate seat from Missouri, that a woman's body has a way of preventing pregnancy in the case of a "legitimate rape." The claim is unsupported by medical evidence. The congressman quickly apologized but resisted Romney's pressure to drop out of the race.

Romney, in a Fox interview, said in comments broadcast Sunday that the fallout over Akin's remarks "hurts our party and I think is damaging to women," adding: "It really is sad, isn't it? With all the issues that America faces, for the Obama campaign to continue to stoop to such a low level."

In the reworked convention schedule released early Sunday evening, organizers planned a pro forma opening Monday afternoon, lasting no more than five minutes or so. Priebus was to gavel the convention to order, then immediately recess. Few delegates were expected to attend. In the only bit of convention-hall theater, a debt clock was to be set in motion, to tally the nation's red ink during the convention.

Speakers who had been scheduled for Monday were to start making the case against Obama, under the day's theme, "we can do better." That theme now will be threaded through the following three days, said Romney adviser Russ Schriefer, in charge of the convention's planning. "Even though the days will be abbreviated, I absolutely believe we'll be able to get our message out," he said.

The roll call of state delegations affirming Romney as the party's nominee now is to unfold Tuesday, an evening capped by speeches from Ann Romney and an assortment of GOP governors. Romney's running mate, Rep. Paul Ryan, gets the prime-time spotlight Wednesday and Romney closes out the spectacle Thursday night, his springboard into the final leg of the contest. That's all if the storm brings no further complications.

So far, many delegates were taking the shakeup in stride. "People are pretty resilient, and people knew going in that there were some weather issues," said Pat Shortridge, the Minnesota state GOP chairman, from Lino Lakes, Minn. "I don't think it's dampened enthusiasm."

Weather was recognized as potential trouble when Republicans chose to hold their convention in politically vital Florida during hurricane season, a decision made well before Romney locked up the nomination. And it's clear that memories of Hurricane Katrina, and the failure of a Republican administration to respond effectively to its Gulf Coast devastation in 2005, are hanging over Tampa now. Republicans have been so sensitive to the political risks from natural disasters that they delayed the start of their national convention by a day in 2008, when Hurricane Gustav bore down on the Gulf, far from their meeting in Minnesota.

And it surely wasn't lost on Tampa convention organizers that a gathering storm gave Obama an opportunity to show leadership. As the forecast worsened, the president directed the Federal Emergency Management Agency to help.

"The president also told the governor to let him know if there are any unmet needs or additional resources the administration could provide, including in support of efforts to ensure the safety of those visiting the state for the Republican National Convention," the White House said Sunday.

Both sides grappled with how to conduct their politicking in the face of the storm. Vice President Joe Biden, who had been prepared to make as much political hay as possible over the Republican convention, canceled a campaign swing through Florida on Monday and Tuesday.

Polls find a tight race, and it's one that is likely to be settled in a small number of battleground states.

An estimated $500 million has been spent on television commercials so far by the two candidates, their parties and supporting outside groups, nearly all of it in Florida, North Carolina, Virginia, New Hampshire, Ohio, Iowa, Colorado and Nevada. Those states account for 100 electoral votes out of the 270 needed to win the White House. Republicans hope to expand the electoral map to include Pennsylvania, Michigan, perhaps Ryan's Wisconsin and even Minnesota, states with 68 electoral votes combined.

All four are usually reliably Democratic in presidential campaigns. Yet Romney has a financial advantage over the president, according to the most recent fundraising reports, and a move by the Republicans into any of them could force Obama to dip into his own campaign treasury in regions he has considered relatively safe.

Republican office-holders past and present said the economy is the key if Romney is to expand his appeal to women and Hispanic voters.

"We have to point out that the unemployment rate among young women is now 16 percent, that the unemployment rate among Hispanics is very high, that jobs and the economy are more important, perhaps, than maybe other issues," said Arizona Sen. John McCain, who lost to Obama in 2008.

Bush agreed, saying that Romney "can make inroads if he focuses on how do we create a climate of job creation and economic growth." If he succeeds, "I think people will move back towards the Republican side," the former Florida governor added.

Obama leads Romney among female voters and by an overwhelming margin among Hispanics, but trails substantially among men.

GOP Convention Floor Fight Averted

A compromise on Republican Party rules will likely prevent a convention floor fight on Tuesday.

Republican National Committeeman James Bopp, who had led a movement to oppose a new delegate rule on the convention floor, confirms to ABC News that he has agreed to a deal on compromise language.

A new RNC rule would have allowed presidential candidates effectively to choose their own bound delegates. States typically determine delegate allotments through primaries, then meet later at state conventions to pick those individuals. Under the new rule, state parties would give up some power to choose, among themselves, who gets to attend future GOP conventions as voting delegates.

Bopp had led a movement to defeat this rule on the convention floor Tuesday.

Instead, Bopp has agreed to compromise language. The RNC Rules Committee will meet Tuesday to approve the replacement language, Bopp told ABC News.

"The leadership of the Republican National Committee and the Romney for President campaign has heard the concerns of the conservative grassroots voices in our party and has crafted an amendment to the Rules adopted on Friday to address these concerns," Bopp wrote in an email to Republican National Committee members. "At the same time, the revised language closes a loophole in our party rules, which previously failed to include a penalty for delegates who break their promise to vote for a particular Presidential candidate as required by state law or state party rules."

Bopp explained the impetus for the proposed change, in the first place, as fear that Ron Paul supporters bound to Mitt Romney would break party rules and instead vote for Paul. The rule sought to prevent that risk at future conventions, Bopp said.

The compromise language simply states that delegates must vote for the candidates to whom they are bound, Bopp said. If not, they'll be kicked out of future conventions and votes will be cast on their behalf.

The deal likely will not, however, allay some concerns of Ron Paul supporters.

The same new rule effectively bans future implementations of Paul's campaign strategy - of organizing and amassing delegates at state conventions - by requiring states to allocate delegates by statewide vote. Bopp's deal does not change that.

While no countermeasure will likely come up on the convention floor, Paul supporters will likely still be unhappy with the new rules. In Tampa Paul has 320 delegates supporting him out of 2,286 total, according to Paul Campaign Manager Jesse Benton.

State Finally Recognizes Methadone Maintenance Therapy as one of the Most Effective Treatments for Opioid Dependence and a Proven Way to Reduce Overdose Deaths

SANTA FE, NM--(ENEWSPF)--August 27, 2012. ?Starting September 1, the state of New Mexico?s Medicaid Program will begin to reimburse for outpatient Methadone Maintenance Therapy (MMT). New Mexico will join approximately 30 other states in offering Medicaid coverage for MMT.

Although Methadone Maintenance Therapy is but a single piece of a comprehensive system to break opioid dependency, it is statistically proven to be the most effective. The Centers for Disease Control, the National Institutes of Health, the Substance Abuse and Mental Health Services Administration, among others, have unequivocally and repeatedly proven that medication-assisted treatment like MMT are the most effective treatments for opioid dependence and a proven way to reduce overdose deaths.

"Medication assisted therapy along with behavioral health services is a comprehensive approach to addiction treatment that demonstrates promise in helping those with the disease of addiction maintain a healthier quality of life," stated Steve Lucero, Executive Director of the New Mexico Hispanic Medical Association. "This change in Medicaid coverage will give healthcare providers an additional tool to treat addiction."

For more than ten years, advocates have been pressing state officials to remedy this situation, urging them to recognize that many New Mexicans suffering from addiction are not provided any meaningful drug treatment.

?This decision is long overdue,? said Emily Kaltenbach, New Mexico state director of the Drug Policy Alliance. ?We trust this is a step in the right direction by bringing an end to treating drug misuse as a moral issue and begin treating it as a health issue that can be solved.?

The NM Hispanic Medical Association and Drug Policy Alliance were among the members of the group of individuals and organizations repeatedly calling for the Martinez Administration to cover methadone maintenance therapy under the state?s Medicaid system.? Both groups sat down with the Martinez staffers to negotiate the coverage.

A newly issued report on drug overdose deaths in the United States from the Centers for Disease Control (CDC) found New Mexico to have the highest overall overdose death rate of any state.? The CDC also indicates the state is in the midst of an opioid pill addiction epidemic among adolescents and young adults with a significant proportion of them progressing to heroin.

Medication assisted treatment has been demonstrated in numerous scientific studies to be the most effective treatment for individuals addicted to heroin and prescription opioids. The two most common medications used for treatment are buprenorphine/naloxone and methadone. These medications "occupy" the receptors in the brain that are affected by heroin and other opiates to facilitate detoxification, treatment, and recovery from opioid addiction.

When properly dosed, the medications do not cause euphoria, intoxication, or sedation. Both methadone and buprenorphine work by suppressing withdrawal symptoms, relieving cravings for the drug, and blocking the effects of any opioids. People dependent on street opioids who receive methadone or buprenorphine treatment live longer, spend less time in jail and in the hospital, are more likely to have a stable job, are less often infected with HIV, have lower overdose death rates, and commit fewer crimes.

Appropriate substance misuse treatment is proven to significantly reduce criminal activity during and after treatment. Every dollar invested in substance misuse treatment saves taxpayers $7.46 in societal costs such as crime, violence, and loss of productivity. Averaging $5,000 a year, methadone maintenance therapy has proven to be a cost-effective way to break the cycle of incarceration, preventing the state from paying an upwards of $40,000 a year to incarcerate someone for their addiction.

New wave of technologies possible after ground-breaking analysis tool for nanometer devices developed

ScienceDaily (Aug. 26, 2012) ? The nuclear magnetic resonance apparatus -- developed by the University's Department of Physics and Astronomy -- will allow for further developments and new applications for nanotechnology which is increasingly used in harvesting solar energy, computing, communication developments and also in the medical field.

Scientists can now analyse nanostructures at an unprecedented level of detail without destroying the materials in the process, a limitation researchers across the world faced before the Sheffield experts' breakthrough.

Dr Alexander Tartakovskii, who led a team of researchers, said: "We have developed a new important tool for microscopy analysis of nanostructures. In the very tiny quantities of matter used in nanostructures the behaviour of electrons and photons is governed by new quantum effects, quite different from what happens in bulk materials. This makes them attractive for various new technologies.

"Development requires careful structural analysis, in order to understand how the nanostructures are formed, and how we can build them to enhance and control their useful properties. Existing structural analysis methods, key for the research and development of new materials, are invasive: a nanostructure would be irreversibly destroyed in the process of the experiment, and, as a result, the important link between the structural and electronic or photonic properties would usually be lost. This limitation is now overcome by our new techniques, which rely on inherently non-invasive nuclear magnetic resonance (NMR) probing."

The results open a new way of nano-engineering, a full characterisation of a new material and new semiconductor nano-device without destroying them meaning more research and development and device fabrication processes.

Dr Tarakovskii added: "We have developed new techniques which allowed unprecedented sensitivity and enhancement of the NMR signal in nanostructures. Particular nanostructures of interest in our research are semiconductor quantum dots, which are researched widely for their promising photonic applications, and potential for the use in a new type of computer hardware employing quantum logic.

"The result of our experiments was quite unexpected and changed our understanding of the architecture of these nanomaterials: we learned new information about the chemical composition of quantum dots, and also how atom alignment inside the dots deviates from that of a perfect crystal. Importantly, many more measurements of optical and magnetic properties can be done on the same quantum dots which have undergone the NMR probing."

The development of the new techniques and all experimental work was carried out by Dr Evgeny Chekhovich in the group of Dr Alexander Tartakovskii at the Department of Physics and Astronomy in Sheffield. Quantum dot samples used in this work have also been fabricated in Sheffield, in the EPSRC National Facility for III-V Semiconductor Technology.

Few things feel less masculine than being rail thin, not being able to fill out a small sized tee shirt, and being so weak that if you could somehow attract a girlfriend she?d be able to beat you in an arm wrestling match.

Such is the plight of the hardgainer.

Hardgainers are typically on the extreme end of the ?type A? personality spectrum. They?re energetic (borderline hyperactive), tend to over-analyze things and have a lightning fast metabolism.

Some have a small, but noticeable amount of muscle, while others have what?s known as ?skinny-fat syndrome?.

Nevertheless, they all have one thing in common: the need to build muscle, and build it fast!

In this article, which is part one in a two part article series, I will break down the common training mistakes that prevent hardgainers from adding slabs of new muscle to their frames and will provide a training regimen specifically catered to the needs of the hardgainer.

HardgainerBad Information and Useless Instruction

When we want to achieve anything in life it makes sense that we would seek guidance from those who?ve achieved whatever it is we?re hoping to accomplish. To a hardgainer this translates into picking up a copy of the latest muscle mag containing a workout plan that promises ?sleeve ripping arms?.

And since the guy that wrote the program has 20? arms, you think you can trust what he tells you. Never mind the fact that he?s pumping his body with anabolic steroids.

He gives you a plan that has you working your arms 5 days a week with mostly isolated movements that leave you barely able to lift your backpack because you?re so sore the next day. The worst part is that your arms are still the same size 4 weeks later!

After 4 weeks of killing yourself with nothing to show for it you begin to think that you?re genetically destined to be skinny and weak forever.

Gaining size and strength doesn?t come from blasting your muscles into oblivion. It comes from the right combination of training, nutrition and recovery.

We?re going to cover the training aspect throughout the remainder of this article, with the elements of nutrition and recovery being covered in the next article.

Before we get into the specifics of training for fast muscle gains I want to quickly address the problem of having unrealistic expectations.

Unrealistic Expectations

Because a hardgainer?s desire to build muscle is so intense they will often feel like a failure if they haven?t built a set of arms like Arnold after a month or two of training.

You should absolutely expect results. After all, nobody wants to train firm for weeks on end with nothing to show for it. However, you need to have the proper perspective.

Arnold?s bulging arms were the result of more than a decade of consistent training and admitted intermittent steroid use.

You should absolutely expect results, but you can?t expect to do in 2 months what takes professional lifters ten years to accomplish. Besides, if you built muscle that fast you?d end up with a myriad of injuries as your tendons and ligaments wouldn?t have enough time to adapt.

That being said, by implementing the instructions I?m going to share with you, you absolutely can make significant muscle gains every month.

The Hardgainer Training Plan

Weight training for a hardgainer isn?t really any different than the weight training regimen that should be used by anyone else desiring to build muscle mass.

Many beginners make the mistake of doing hyper-targeted training exercises, like isolation curls, lateral shoulder raises and hamstring curls. These lifts are not nearly as effective for growth as compound lifts, such as squats, dead lifts, bench presses and power cleans.

Compound lifts train multiple muscle groups at once, activate a greater cross sectional area of muscle fibers and provide a hormonal response that?s unrivaled by isolation movements.

The most important lift for any hardgainer is the squat. Squats activate more muscles than any other lift and lead to a greater testosterone response as well.

In other words, hardgainers need to squat often.

In the next article I will cover the aspect of training frequency in greater detail, but here is a hardgainer weekly training plan that will allow you to build muscle as fast as possible:

Make sure that as you grow stronger you are adding to the weights that you?re using for each lift. A good way to gauge when it?s time to add weight is if you can do 6 reps.

If you never add weight to your lifts your muscles will never be forced to adapt and will not grow!

You have to continually push yourself to performing more weight as often as possible. The more weight you can push, the larger your muscles will get.

Of course, training is only half the battle, as your body will also require the nutrition necessary for muscle growth.
